Terms of Service

1. Who this agreement is with, and who it's for

These Terms of Service (“Terms”) govern access to and use of Atra Agent (the “Service”), an AI-assisted work product for licensed real estate professionals. By creating an account or using the Service, you agree to these Terms. The Service is intended for use by licensed real estate agents, brokers, and their support staff acting in a professional capacity — it is not intended for consumer use.

2. What the Service is (and isn't)

Atra Agent provides a set of AI-assisted “desks” (Marketing, Lead Gen, Content, Listings/CMA, Buyers, Client Experience, Coaching, TC Assistant, Financials, Recruiting) that generate draft text, summaries, and organizational content based on information you provide.Nothing is sent on your behalf unless you have approved it (apart from the standard STOP, HELP, and START confirmations described below). By default, what a desk produces is a draft for your review, and it goes nowhere until you choose to use or send it. You can also approve content in advance to be sent automatically — such as the response scripts you activate in your response library, described below — and the Service may then send that content without you reviewing each individual message. Either way, you remain responsible for everything sent under your account, whether you wrote it in the moment or approved it ahead of time.

Automatic replies to inbound messages (Pro and Team plans). Automatic replies are scripts, not copy-and-paste template messages and not text the AI makes up. Your response library is built to hold response scripts and objection rebuttals modeled on the kind of proven sales scripts experienced real estate agents already use with leads. Every script in it is one you have written, adopted, or edited, and then activated.

When one of your contacts texts or emails you, the Service may automatically send that contact one of your activated scripts, based on rules you configure, without you reviewing that individual reply before it is sent. The AI’s role is limited to recognizing the situation and selecting the script that fits it — it does not write, rewrite, or add to the script, other than filling in the contact’s first name where your script asks for it. It sends only scripts from your library, only when its match is rated high-confidence, and never to a contact who has opted out; otherwise it flags the message for you to answer yourself. The Service also sends the standard confirmations required when a contact texts STOP, HELP, or START. You can prevent any script from being sent automatically by deactivating it.

The Service does not independently verify the accuracy of anything it generates.

The Service is not a Multiple Listing Service (MLS) or IDX data feed, does not have a live connection to any MLS, CRM, or accounting system unless and until you explicitly connect one, and does not provide legal, tax, accounting, or financial advice. See the AI Use Disclosure for more detail on what the underlying AI model can and cannot reliably do.

3. Your account and responsibilities

You are responsible for:

  • Maintaining the confidentiality of your login credentials and everything that happens under your account.
  • Reviewing AI-generated drafts before you use them publicly, send them to a client, or rely on them for a business or legal decision — and everything sent under your account, including content you approved in advance to be sent automatically.
  • The content of every approved response you activate, and keeping that library current, since those responses may be sent to your contacts automatically (see section 2).
  • Ensuring your own compliance with the Fair Housing Act and all other applicable federal, state, and local fair housing, advertising, and licensing laws. The Service includes a best-effort automated screen for common Fair Housing risk language on some desks (see the AI Use Disclosure), but that screen is not a substitute for your own professional judgment and is not a compliance guarantee.
  • Not using the Service to draft, finalize, or interpret binding contract language in place of your broker, attorney, or official association forms.
  • Keeping any client, transaction, or personal information you enter accurate and only entering information you're authorized to use for this purpose.

4. Acceptable use

You agree not to use the Service to:

  • Generate discriminatory, harassing, or unlawful content, including content that violates the Fair Housing Act or other anti-discrimination laws.
  • Misrepresent AI-generated content as independently verified fact when you know it hasn't been checked.
  • Attempt to reverse-engineer, scrape, or resell access to the underlying AI models.
  • Upload data you are not authorized to use (e.g. MLS/IDX data used outside the terms of your MLS license, or client data you don't have consent to process this way).
  • Interfere with the Service's operation or attempt unauthorized access to another organization's account or data.

5. AI output disclaimer

Content generated by the Service is produced by a large language model and may be incomplete, outdated, or incorrect. It is provided “as is,” for your review and judgment, and is not a substitute for professional advice from a licensed attorney, accountant, appraiser, lender, inspector, or your broker. You are solely responsible for reviewing, verifying, and taking responsibility for anything you choose to use, publish, or send based on Service output.

6. Fees and subscription

7. Intellectual property

You retain ownership of the information you input into the Service and the content generated for you. You grant Atra Agent a limited license to process that information solely to provide the Service to you. Atra Agent retains all rights to the Service's software, design, and underlying technology.

8. Termination

You may stop using the Service and delete your account at any time from Settings › Profile (see the Privacy Policy for what deletion removes). Atra Agent may suspend or terminate access for violation of these Terms, including misuse that creates legal or safety risk (e.g. generating discriminatory content, unauthorized data use).

9. Disclaimer of warranties; limitation of liability

The Service is provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. To the fullest extent permitted by law, Atra Agent is not liable for indirect, incidental, or consequential damages, including damages arising from reliance on AI-generated content, Fair Housing violations, or professional/financial decisions made using Service output. 10. Indemnification

You agree to indemnify and hold Atra Agent harmless from claims arising from your use of the Service, including your publication or use of AI-generated content and your compliance (or non-compliance) with Fair Housing and other applicable laws.
